Services Terms & Conditions

Important terms governing SCAINET development services. These terms supplement our general Terms of Service for all service engagements.

Important Notice

These terms apply to all service enquiries, assessments, and engagements with SCAINET PTY LTD. Individual projects will be governed by specific Statements of Work (SOW) which may include additional or modified terms. In case of conflict, the SOW terms shall prevail.

1. Service Enquiries & Assessments

  • Submitting an enquiry does not create a binding contract or obligation on either party.
  • All assessments, quotes, and timelines provided are estimates based on information available at the time of assessment.
  • Final pricing and timelines will be confirmed in a formal Statement of Work (SOW) after detailed requirements analysis.
  • SCAINET reserves the right to decline any project that does not align with our capabilities or values.

2. Scope & Deliverables

  • All project work will be governed by individual Statements of Work (SOW) specific to each engagement.
  • Changes to scope after SOW execution may affect pricing, timeline, and deliverables.
  • Deliverables remain the property of SCAINET until final payment unless otherwise specified in the SOW.
  • Upon full payment, intellectual property rights transfer as specified in the applicable SOW.

3. Disclaimers & Limitations

  • All efficiency metrics, cost savings claims, and performance statistics are based on internal measurements and may vary based on project complexity.
  • SCAINET makes no guarantees regarding specific outcomes, timelines, or results unless explicitly stated in a signed SOW.
  • Our AI-assisted development methodology enhances efficiency but does not eliminate the need for human oversight and quality assurance.
  • Past performance and case studies do not guarantee similar results for future projects.

4. Liability

  • SCAINET's liability for any engagement shall not exceed the fees paid for that specific engagement.
  • SCAINET is not liable for indirect, incidental, consequential, or punitive damages.
  • Clients are responsible for providing accurate requirements, timely feedback, and necessary access/resources.
  • SCAINET is not responsible for delays caused by client unavailability, scope changes, or third-party dependencies.

5. Payment Terms

  • Payment terms, milestones, and conditions will be specified in individual Statements of Work.
  • Standard payment terms are Net 14 days unless otherwise negotiated.
  • Late payments may result in project suspension until accounts are current.
  • All prices are in Australian Dollars (AUD) unless otherwise specified.

6. Termination & Cancellation

  • Either party may terminate an engagement with 14 days written notice.
  • Upon termination, client is responsible for payment of all work completed to date.
  • Cancellation fees may apply as specified in the applicable SOW.
  • SCAINET will provide all completed work product upon settlement of outstanding fees.

These terms are governed by the laws of Victoria, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Victoria.
